Suzano announced the signing of an agreement to acquire 10% of Imetame Logística Porto, a project under construction in the city of Aracruz, in Espírito Santo. The deal will be carried out through the transfer of land owned by the company, with no cash outlay required and no expected impact on the performance of the Aracruz Unit.
The New Port Complex Project
The project will include the construction of a complex with five terminals specialized in different types of cargo: containers, general cargo, dry bulk, liquid bulk and ship-to-ship operations, which are carried out directly between vessels. Suzano noted that the transaction is still subject to conditions precedent, including approval by the relevant regulatory bodies.
Instead of selling the land or making a traditional financial investment, the company will use these assets to build its stake in the project. According to the market filing, the deal is in line with Suzano’s strategy of generating long-term value by combining its experience in port logistics with the appreciation potential of its land assets.
Partnership and Operating Schedule
The company noted that the port could become a relevant logistics platform for Brazilian foreign trade, in partnership with groups specializing in infrastructure. The first phase is expected to begin operating with general cargo in early 2027, while the container terminal is scheduled to start in mid-2028.
This terminal will be developed as a joint venture with a 50% stake held by Hanseatic Global Terminals (HGT), the terminal division of Hapag-Lloyd, one of the world’s largest container shipping lines. The infrastructure will have an estimated capacity to handle about 1.2 million TEUs per year, 750 meters of quay and advanced cargo-handling equipment.
With a depth of 17 meters, the terminal will be able to receive large vessels. The other terminals will be built in later stages, according to the port’s expansion schedule.
Financial and Operational Impact
Suzano said the acquisition of the stake in Imetame Logística Porto should not represent a significant investment for its capital structure, nor change the investment plan for the coming years. No capital expenditure (capex) is planned for the project during 2026 either.
the company stressed that the deal will have no impact on the operating or economic performance of the Aracruz Unit. The transaction expands Suzano’s presence in the region, where it already has logistics assets and industrial operations.
Closing of the agreement still depends on regulatory approval and fulfillment of the conditions established between the parties involved.
